Business Licence Agreement

Note: This Agreement applies only to organisations that have executed a Hootnotes Order Form with Snowy Owl Networks Pty Ltd. If you are an individual user of Hootnotes, this document does not govern your use of the Services. Your use is instead governed by the Hootnotes Terms of Use and Privacy Policy which are listed on its website.
1. About this agreement
(a) This Business Licence Agreement (BLA) governs access to Hootnotes by organisations and their Authorised Users pursuant to an Order Form issued by Snowy Owl Networks Pty Ltd. This BLA does not apply to individual users of Hootnotes, whose use of the Services is governed solely by the Terms of Use at https://hootnotes.io/terms-of-use/ and the Privacy Policy at https://hootnotes.io/privacy-policy/.
(b) This BLA is intended to be read alongside:
(i) the Hootnotes Terms of Use at https://hootnotes.io/terms-of-use/ (ToU); and
(ii) the Hootnotes Privacy Policy at https://hootnotes.io/privacy-policy/ (Privacy Policy).
Both documents are incorporated into this BLA by reference. Individual Authorised Users remain bound by the ToU in their own right.
(c) In the event of any inconsistency between this BLA and the ToU or Privacy Policy, this BLA prevails to the extent of the inconsistency. In the event of any inconsistency between this BLA and an Order Form, the Order Form prevails.
(d) This BLA becomes binding on the Organisation upon execution of an Order Form referencing it. Snowy Owl Networks Pty Ltd's issuance of access credentials or a coupon code following receipt of an executed Order Form constitutes its acceptance of the terms of that Order Form and creates a binding agreement between the parties
2. Definitions
In this BLA:
(a) Authorised Users means the individuals within the Organisation who are granted access to the Services under a valid Order Form, up to the maximum number of Seats specified in that Order Form.
(b) Confidential Information means any non-public information disclosed by one party to the other in connection with this BLA that is marked confidential or that a reasonable person would understand to be confidential, but excludes information that is publicly available, already known to the recipient, or independently developed without reference to the disclosing party's information.
(c) Order Form means the commercial document executed by the Organisation specifying the number of Seats, access period, access mechanism, and any agreed post-pilot or enterprise pricing.
(d) Organisation means the entity identified in the Order Form.
(e) Services means the Hootnotes application and associated features as described at hootnotes.io, as updated from time to time.
(f) Seat means a single user licence entitling one Authorised User to access the Services under a valid Order Form.
3. Grant of access
(a) Subject to the terms of this BLA and the relevant Order Form, Snowy Owl Networks Pty Ltd grants the Organisation a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the access period specified in the Order Form, solely for the Organisation's own internal and client-facing operational purposes and not for resale or sub-licensing to third parties.
(b) The number of Seats available to the Organisation is limited to the number specified in the Order Form. Seats that are not redeemed by the expiry date of the access period lapse automatically and carry no monetary value.
(c) Access to the Services will be provisioned in the manner specified in the Order Form, which may include the issuance of a coupon code, direct account provisioning, or such other mechanism as agreed between the parties.
(d) The Organisation must not:
(i) permit access to the Services by more users than the number of Seats specified in the Order Form;
(ii) resell, sublicense, or otherwise make the Services available to any third party; or
(iii) use the Services for any purpose prohibited by the ToU.
4. Organisation responsibilities
(a) The Organisation is responsible for ensuring that all Authorised Users comply with the ToU. A breach of the ToU by an Authorised User is treated as a breach by the Organisation.
(b) The Organisation shall designate an administrator (as identified in the Order Form) as the primary point of contact for Snowy Owl Networks Pty Ltd. The administrator is responsible for distributing access credentials or coupon codes to Authorised Users and for ensuring the number of users accessing the Services does not exceed the number of Seats specified in the Order Form.
(c) The Organisation warrants that it has the authority to enter into this BLA and that the person executing the Order Form is duly authorised to bind the Organisation.
(d) The Organisation is responsible for the accuracy of any information it provides to Snowy Owl Networks Pty Ltd in connection with this BLA or any Order Form.
5. Data processing
(a) The collection and use of personal information in connection with the Services is governed by the Privacy Policy. The Organisation acknowledges that it has read and understood the Privacy Policy.
(b) Where Snowy Owl Networks Pty Ltd processes personal information of Authorised Users on behalf of the Organisation pursuant to a business arrangement, it does so as a Data Processor as defined under the GDPR where applicable. The Organisation acknowledges that it bears its own data controller obligations in respect of its Authorised Users' personal information.
(c) The Organisation is responsible for ensuring that its use of the Services, and the processing of its Authorised Users' personal information in connection with the Services, is lawful under applicable privacy laws in the Organisation's jurisdiction.
(d) Upon termination or expiry of the access period, individual Authorised User accounts will revert to Free Account status or be deactivated as specified in the Order Form. Data deletion requests may be submitted to contact@hootnotes.io and will be actioned in accordance with the Privacy Policy.
6. Confidentiality
(a) Each party agrees to keep the other party's Confidential Information confidential and not to disclose it to any third party without prior written consent, except as required by law or to the extent necessary to perform obligations under this BLA.
(b) Each party agrees to use the other party's Confidential Information only for the purposes of performing its obligations or exercising its rights under this BLA.
(c) The obligations in this clause survive termination of this BLA for a period of three years, except in relation to information constituting trade secrets, which shall remain confidential indefinitely.
(d) The commercial terms of any Order Form, including any agreed pricing, are Confidential Information of both parties.
7. Intellectual property
(a) All intellectual property rights in the Services, including the Hootnotes application, its underlying technology, and all content created by Snowy Owl Networks Pty Ltd, remain the exclusive property of Snowy Owl Networks Pty Ltd. Nothing in this BLA transfers any intellectual property rights to the Organisation.
(b) The Organisation and its Authorised Users retain all rights in content they create within the Services. The licence granted to Snowy Owl Networks Pty Ltd to host, store, and display such content for the purpose of providing the Services is set out in the ToU.
(c) Subject to the Organisation's prior written consent, Snowy Owl Networks Pty Ltd may identify the Organisation as a customer in its marketing materials, including by reference to the Organisation's name and logo. Email confirmation from the Organisation's Authorised Contact constitutes written consent for this purpose.
8. Warranties and disclaimer
(a) Snowy Owl Networks Pty Ltd warrants that it will provide the Services with reasonable skill and care.
(b) Except as expressly stated in this BLA or required by law, the Services are provided on an "as is" and "as available" basis. All other warranties, express or implied, are excluded to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
(c) Snowy Owl Networks Pty Ltd does not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components.
(d) Nothing in this clause limits any rights the Organisation may have under the Australian Consumer Law or other applicable mandatory consumer protection legislation.
9. Limitation of liability
(a) To the maximum extent permitted by law, Snowy Owl Networks Pty Ltd's total aggregate liability to the Organisation under or in connection with this BLA, whether in contract, tort including negligence, statute, or otherwise, shall not exceed the total fees paid or payable by the Organisation under the relevant Order Form in the 12 months preceding the event giving rise to liability. Where no fees have been paid under the relevant Order Form, total liability is limited to re-supply of the affected Services, consistent with the Terms of Use.
(b) Neither party shall be liable to the other for any indirect, incidental, special, consequential, or exemplary loss or damage, including loss of profit, loss of revenue, loss of data, or loss of business opportunity, even if advised of the possibility of such loss.
(c) Nothing in this clause limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
10. Term and termination
(a) This BLA commences on the date the Order Form is executed and continues until terminated in accordance with this clause.
(b) Either party may terminate this BLA immediately by written notice if the other party:
(i) commits a material breach of this BLA and fails to remedy it within 14 days of receiving written notice requiring it to do so; or
(ii) becomes insolvent, enters voluntary administration, or has a receiver or liquidator appointed.
(c) Snowy Owl Networks Pty Ltd may suspend or terminate access to the Services immediately and without notice if the Organisation or any Authorised User breaches the ToU in a way that poses a risk to the security, integrity, or reputation of the Services or other users.
(d) At the expiry of the access period specified in the Order Form, Authorised User accounts automatically revert to Free Account status unless the parties have agreed otherwise in writing. This BLA continues to govern any ongoing use of the Services following expiry.
(e) On termination of this BLA , clauses 5 (Data Processing), 6 (Confidentiality), 7 (Intellectual Property), 9 (Limitation of Liability), and 11 (General) survive.
(f) Either party may terminate this BLA or any Order Form for convenience by providing 30 days' written notice to the other party. Where an Organisation terminates a paid Order Form for convenience, fees paid in advance are non-refundable unless otherwise agreed in the Order Form.
11. General
(a) Entire Agreement. This BLA, together with the relevant Order Form, ToU, and Privacy Policy, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, representations, and understandings relating to that subject matter.
(b) Amendments. Snowy Owl Networks Pty Ltd may update this BLA from time to time. The version in effect at the time an Order Form is executed governs that Order Form unless the parties agree otherwise in writing. Material updates will be notified at https://hootnotes.io/business/ from time to time.
(c) Governing Law. This BLA is governed by the laws of Victoria, Australia. Dispute resolution is subject to the process set out in the ToU.
(d) Notices. Notices to Snowy Owl Networks Pty Ltd under this BLA should be sent to contact@hootnotes.io. Notices to the Organisation should be sent to the contact details specified in the Order Form.
(e) Waiver. Failure by either party to enforce any provision of this BLA does not constitute a waiver of that party's right to enforce it in the future.
(f) Severability. If any provision of this BLA is found to be void or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.
(g) Relationship of Parties. The parties are independent contractors. Nothing in this BLA creates a partnership, joint venture, employment, or agency relationship between the parties.
(h) Assignment. The Organisation may not assign or transfer its rights or obligations under this BLA without Snowy Owl Networks Pty Ltd's prior written consent. Snowy Owl Networks Pty Ltd may assign this BLA in connection with a merger, acquisition, or sale of all or substantially all of its assets without the Organisation's consent.
(i) Force Majeure. Neither party is liable for any delay or failure to perform its obligations under this BLA to the extent caused by circumstances beyond its reasonable control, including natural disasters, pandemic, government action, or failure of third-party infrastructure providers. The affected party must notify the other party promptly upon becoming aware of any such circumstances and use reasonable endeavours to resume performance as soon as practicable. If a force majeure event continues for more than 60 days, either party may terminate this BLA or the affected Order Form by written notice.
